Introduction
This Agreement (“Agreement”) outlines the terms and conditions governing your participation in the Empiraa Ambassador Reselling Program (“Program”), operated by Empiraa Pty Ltd (“Empiraa”, “we”, “us”, or “our”). By submitting an application or participating in any part of the Program, you (“Ambassador”, “you”, or “your”) agree to be legally bound by this Agreement, including any updates or amendments as published by Empiraa. Your continued participation in the Program signifies your ongoing acceptance of the terms outlined herein.
Eligibility and Enrollment
To be eligible to participate in the Program, you must complete the official Program application form. Empiraa reserves the sole and exclusive right to approve or deny any application at its discretion. We may consider factors such as your professional background, existing network, alignment with our brand, and any history of compliance issues. All applicants must be at least 18 years of age to join the Program. By enrolling, you represent and warrant that you meet this requirement and that all information provided in your application is accurate and truthful.
Ambassador Obligations
As an Ambassador, you agree to actively promote Empiraa’s products and services in a way that is accurate, ethical, and aligned with our brand values. You will make reasonable efforts to generate interest and sales using your unique referral link, and marketing tools and assets provided by Empiraa. You are expected to act professionally and avoid any behavior that could reflect negatively on the Program or the Empiraa brand. You may not present yourself as an employee, agent, or representative of Empiraa, and you must clearly disclose your independent status and role as a Program participant in all communications and promotions.
Compensation
Ambassadors will earn commissions based on qualifying purchases that result directly from their referred leads using your unique tracking link. This link can be found at your ambassador portal as well as your commissions: https://connect.empiraa.com. The specific commission rates and incentive tiers are available here: https://www.empiraa.com/affiliate and are subject to change with notice. Commissions are calculated monthly and paid out on the 30th of each month (or closest business day). A minimum payout threshold of $50 USD applies. You are responsible for any tax obligations resulting from your earnings. Empiraa uses cookies and tracking technology with an attribution window of 180 days; this means referrals are credited within 180 days of the initial click, provided no conflicting source takes precedence.5.
Code of Conduct
All Ambassadors are expected to uphold a high standard of ethics and professionalism. You must not engage in misleading, deceptive, or dishonest marketing practices. This includes but is not limited to making exaggerated claims about the Empiraa platform’s capabilities, suggesting guaranteed income or success, or misrepresenting your association with Empiraa. You may not use spam tactics or engage in mass unsolicited communications, including email blasts or social media spam. Intellectual property infringement—including unauthorized use of copyrighted materials, trademarks, or Empiraa branding not provided or approved for use—is strictly prohibited. Additionally, you agree not to post or disseminate negative, defamatory, or untrue statements about Empiraa, its partners, or other Ambassadors. Violations of this Code of Conduct may result in immediate termination from the Program and forfeiture of any unpaid commissions.
Termination
Empiraa reserves the right to suspend or terminate your participation in the Program at any time, with or without cause, and without prior notice. Grounds for immediate termination may include violations of this Agreement, unethical behavior, fraudulent activity, or inactivity. You may also choose to voluntarily withdraw from the Program at any time by submitting written notice to admin@empiraanetwork.com. Upon termination, your access to promotional tools, tracking links, and the Ambassador portal will be revoked. Any unpaid commissions earned prior to the date of termination, will be paid according to our normal schedule. All obligations regarding confidentiality, conduct, and brand protection will survive termination.
Limitation of Liability
Empiraa will not be liable for any indirect, incidental, consequential, special, or exemplary damages arising out of or related to your participation in the Program, including but not limited to lost profits, reputational damage, or platform outages. Our total liability to you under this Agreement shall not exceed the total commissions paid to you during the six (6) months preceding the event giving rise to the claim. Participation in the Program is at your own risk, and Empiraa makes no guarantees regarding your success or earnings.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Victoria, Australia, without regard to conflict of law principles. Any disputes arising under or related in any way to this Agreement or the Program shall be resolved exclusively in the courts located in Victoria, Australia.
Amendments
Empiraa reserves the right to update, amend, or modify this Agreement and the associated compensation structure at any time. You will be notified of any material changes via email or via an announcement in your Ambassador dashboard. Continued participation in the Program after such notice constitutes your acceptance of the modified terms. It is your responsibility to review the Program terms periodically to stay informed of any changes.
Exhibit A: Disclosure Requirements
As an Ambassador, you are legally required to disclose your relationship with Empiraa when promoting the platform. You must comply with the Australian Competition & Consumer Commission (ACCC) guidelines and any other applicable advertising regulations. Approved disclosure statements include, but are not limited to:
“As an Empiraa Ambassador, I may receive a commission if you sign up through my link.”
“Sponsored by Empiraa – I’m part of their official Ambassador Program.”
“Affiliate Disclosure: I promote Empiraa and may earn from qualifying referrals.
”Disclosures must be clear, prominent, and visible in the same format (video, post, page, or email) where the promotion occurs.
Exhibit B: Marketing Guidelines
To ensure a consistent brand experience and regulatory compliance, Ambassadors must adhere to the following guidelines:
Brand Usage: Only use logos, graphics, and marketing materials provided or approved by Empiraa. Do not alter or recreate the Empiraa brand assets without express written permission.
Content Accuracy: Any promotional content you create must be truthful, accurate, and align with the Empiraa brand voice. Avoid making claims that are not substantiated by official marketing materials or documented use cases.
Email and SMS: When promoting via email or SMS, ensure all communications are compliant with spam laws (e.g., CAN-SPAM, Spam Act 2003) and include appropriate disclaimers and unsubscribe options.
Platform Compliance: Ambassadors must follow the terms of service and advertising policies of any third-party platform used for promotion (e.g., Facebook, Instagram, LinkedIn, YouTube).
By participating in the Empiraa Ambassador Reselling Program, you acknowledge that you have read, understood, and agreed to the terms and policies set forth in this Agreement and Code of Conduct. Your continued involvement in the Program constitutes an ongoing commitment to uphold these standards.
